Terms of Service

1. Acceptance of Terms
By accessing or using the Innovate Frameworks website (innovateframework.com) or engaging our software development or training services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, clients, and others who access or use our services.
2. Description of Services
Innovate Frameworks provides software development services including web application development, mobile application development, enterprise software solutions, FinTech platforms, healthcare IT systems, cloud infrastructure, and data science solutions. We also provide software training through the Innovate Frameworks Academy. The scope, deliverables, timeline, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) signed by both parties.
3. Client Obligations
Clients agree to (a) provide accurate and complete project requirements in a timely manner; (b) designate a project contact with authority to make decisions; (c) provide timely feedback and approvals as requested; (d) make payments according to the agreed schedule; and (e) ensure they hold all necessary rights or licences for any materials, content, or intellectual property provided to Innovate Frameworks for use in delivering the agreed services.
4. Payment Terms
All fees are quoted in Nigerian Naira (₦) or United States Dollars (USD) as agreed. Payment schedules are set out in individual Service Agreements. Where not otherwise specified, invoices are due within 14 calendar days of issue. Late payments attract a 2% monthly interest charge. Innovate Frameworks reserves the right to pause work on any engagement where payment obligations are not met.
5. Intellectual Property
Upon receipt of full payment, the client receives full ownership of all custom code, designs, and deliverables created specifically for their project ("Work Product"), except for any pre-existing proprietary tools, frameworks, or libraries owned by Innovate Frameworks that are incorporated into the Work Product (which are licensed, not sold). Innovate Frameworks retains the right to reference completed projects in its portfolio and marketing materials unless the client expressly requests confidentiality in writing.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement that is designated as confidential or that a reasonable person would understand to be confidential. This obligation survives termination of the engagement for a period of two (2) years.
7. Warranties and Limitation of Liability
Innovate Frameworks warrants that services will be delivered with reasonable skill and care in accordance with professional software engineering standards. We provide a 90-day warranty on all delivered software covering defects that arise from our implementation. To the maximum extent permitted by law, Innovate Frameworks' liability for any claim arising out of or related to services shall not exceed the total fees paid by the client in the three (3) months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.
8. Termination
Either party may terminate a Service Agreement with 30 days' written notice. Upon termination, the client shall pay for all work completed up to the termination date. Innovate Frameworks will deliver all completed Work Product upon receipt of such payment.
9. Governing Law
These Terms of Service and any disputes arising from them shall be governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of the Federal Capital Territory, Abuja, Nigeria.
10. Changes to Terms
We reserve the right to update these Terms of Service at any time. Changes take effect when posted on this page. Your continued use of our services after any changes constitutes acceptance of the updated terms. We recommend reviewing this page periodically.
